Nandish Vyas started his career as Research Assistant for ‘Kanga, Palkhivala and Vyas – The Law and Practice of Income-tax’ (9th edition) from 2002 to 2004 and then moved to commercial litigation practice with Federal & Rashmikant from 2004 to 2006. He joined AZB & Partners in 2006 and went on to become a partner at AZB & Partners in 2013. In 2015, Nandish joined Veritas Legal as Partner.
Nandish has acted for international and domestic private equity funds and advised on over 50 private equity transactions across various sectors. He has advised on several transactions including TPG’s investments in Sutures (Healthium), Dodla Dairy, AGS Technologies and Flexituff Limited, among others.
Nandish was appointed as an advisor by the Ministry of Corporate Affairs, Government of India, for the finalization of the rules pertaining to mergers and amalgamations under the Companies Act, 2013. He has advised on several merger & acquisition transactions and business transfers across several sectors, including telecom, finance, IT, pharma, food and beverages, and other industries.
Nandish has acted on several prominent transactions including the Satyam – Tech Mahindra merger (Most Innovative Transaction 2013 – Financial Times), the Tata Global Beverages – Pepsi joint venture, Tata Teleservices’ tower business transfer and joint venture with Quippo and the Pfizer-Wyeth merger.
He has advised on various securities regulations including those relating to takeovers, insider trading, etc. He has advised and represented clients in mergers, demergers, capital reductions, and other schemes of arrangement and restructuring. He has also advised several international investment banks on their fairness opinions and certificates pertaining to schemes of arrangements and takeover offers. Nandish has assisted the Ministry of Corporate Affairs, Government of India, and the Competition Commission of India (“CCI”) in the drafting of India’s M&A-related competition regulations.
